Ordinary General Meeting of Shareholders<\/h1>\n

Item 2 – The appointment of <\/strong> Marius Gabriel Nut as a non-executive director of the Board of Directors, with a term of office equal in duration to the remaining term of office of the current directors in office, i.e. from the date of approval of the appointment by the SNN OGMS and until 15.02.2027, the date on which the term of office of the directors in office expires, in accordance with the provisions of art. 5 of GD no. 639\/2023 (secret vote);<\/p>\n

Item 3 – Approval<\/strong> to maintain the form of the mandate contract to be signed by the company with the appointed non-executive director, as well as his remuneration, in the same form and amount as that of the non-executive directors in office of the Board of Directors of SNN;<\/p>\n

Item 4 – Mandating<\/strong> the representative of the State in the Ordinary General Meeting of Shareholders (AGOA) of SNN to sign the contract of mandate of the new appointed non-executive director.<\/p>\n

(i) the CV of the candidate proposed for nomination\/appointment as non-executive director in the Board of Directors of SNN, Mr. Marius Gabriel Nut.<\/a><\/p>\n

(ii) The proposed mandate contract to be signed by the Company with Mr. Marius Gabriel Nut.<\/a><\/p>\n

(iii) The Final Report within the procedure of selection of candidates for the position of non-executive director within the Board of Directors of SNN, vacant position, was registered with SNN under no. 11835\/08.10.2024.<\/a><\/p>\n
